Tabula Bio, Inc. ("Tabula", "we", "our", "us") operates tabulabio.com and related research tools (collectively, the "Services"). By accessing or using our Services, you agree to these Terms of Use ("Terms"). If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use our Services. Access to certain platform features requires institutional affiliation or prior authorization from Tabula Bio. By using our Services, you represent that you meet these requirements.

2. Account Registration

Certain platform features require you to create or request an account. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Unauthorized access must be reported to us immediately.

3. Use of Platform and Services

When accessing Tabula Bio's AI genome design platform or related tools, you agree to:

  • Comply with all applicable laws, export controls, and biosafety regulations
  • Use the Services only for legitimate scientific, research, or evaluation purposes
  • Not attempt to reverse engineer, extract, or replicate our models or proprietary outputs
  • Not use the Services to design sequences or agents intended to cause harm

You are solely responsible for ensuring your use of the Services is consistent with applicable institutional and regulatory requirements.

4. Intellectual Property

All content, models, software, data, and materials made available through the Services are owned by Tabula Bio or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for the purposes described herein. You may not copy, modify, redistribute, or create derivative works without our prior written consent.

5. Research Outputs

You retain ownership of any inputs you submit to our platform. By submitting inputs, you grant Tabula Bio a limited license to process and use those inputs to provide the Services and improve our models. Outputs generated by our platform are provided for research purposes only and should not be used as the sole basis for clinical, regulatory, or safety-critical decisions.

6. Fees and Access

Access to certain features of our platform may require a research agreement, institutional partnership, or payment. Any fees and payment terms will be set forth in a separate agreement. We reserve the right to modify access terms or pricing at any time with reasonable notice.

7. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF SCIENTIFIC OUTPUTS, OR NON-INFRINGEMENT. TABULA BIO MAKES NO REPRESENTATION THAT PLATFORM OUTPUTS ARE VALIDATED, REGULATORY-COMPLIANT, OR SUITABLE FOR ANY SPECIFIC APPLICATION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TABULA BIO AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, RESEARCH OUTPUTS, OR SCIENTIFIC OPPORTUNITY, ARISING OUT OF YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO TABULA BIO IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Tabula Bio, its affiliates, officers, and personnel from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party right.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms or for any other legitimate reason. Upon termination, your right to use the Services ends immediately. Provisions that by their nature should survive termination will continue to apply.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively through binding arbitration or in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services or legal requirements. Material changes will be communicated through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
